ECHONA WARRANTY SCHEDULE

This Warranty Schedule is provided by EchoNous NA, Inc. (“EchoNA” (f/k/a Signostics)), the exclusive distributor of products manufactured by EchoNous, Inc.:

3. Scope and Duration of Warranties
Customers. The warranties contained in this Warranty Schedule is provided only to such person or entity that acquires EchoNA’s products for its own use and not for resale (the “Customer”). Covered Products. The warranties contained in this Warranty Schedule are limited to the following products (collectively, the “Covered Products”):- Newly manufactured KOSMOS platform and its components comprised of 1 Kosmos Torso transducer and 1 Kosmos Bridge (the “System”); and
- The AI Station and all its components (together with the System, the “Five Year Warranty Products”)
Warranty Period for Covered Products are as follows:
(a) Five Year Warranty Products: five years
The warranty period begins on the date that the Product is shipped to the Customer. The warranty period for any replacement product or component to a Covered Product supplied to Customer as a warranty remedy will be the unexpired portion of the warranty period applicable to the original Covered Product as replaced, or 90 days, whichever is longer.
Product Warranties. EchoNA will provide Warranty Remedies provided in Item 4 for any manufacturing, materials or design defect or damage to the Covered Products during the Warranty Period, including any defect or damage resulting from Customer’s accidental mishandling, so long as the Covered Product has not been (a) dismantled, repaired or altered by unauthorized personnel; or (b) potentially exposed to pathogens and/or biohazards (unless Item 5 of this Warranty Schedule applies).Any loss/damage resulting from theft, vandalism or disasters such as flood, fire or war is not a defect or damage covered by this warranty.
This warranty is made to Customer only and may be transferred to one subsequent purchaser of the Five Year Warranty Products only and only if the following conditions are met: (a) Customer has provided EchoNA (to the attention of the EchoNA Service and/or Sales Support Dept., at the contact information set out in this Warranty Schedule.) with advance written notice of such transfer and EchoNA has not objected to such transferee within fifteen (15) days after receiving the written notice, and (b) the transferee is a qualified medical professional. Failure of either of the foregoing conditions shall render the attempted transfer of warranty void.
EchoNA is not responsible for any loss of data stored in the Covered Products that are returned to EchoNA. Customer is responsible for backing up all data stored on a system and removing it from the system prior to receipt by EchoNA.
4. Exclusive Warranty Remedies
In the event of any covered damage or defect as described in Item 3, Customer must notify EchoNA via the contact details set out in Item 2 of this Warranty Schedule.
Customer shall have one of the exclusive following remedies:
(a) Customer may choose to obtain a replacement part for the part that is defective. Upon receipt of such request, EchoNA will ship a new or exchanged replacement part to Customer. Upon receipt of such replacement part, Customer shall ship the defective part to EchoNA.
(b) If Customer is unsure which parts are defective, Customer may request a full or partial replacementunit. Uponreceiptofsuchrequest, EchoNA will ship a new or exchanged unit to Customer. Upon receipt of such replacement unit, Customer shall ship the relevant unit or the entire Covered Product back to EchoNA.
Costs of delivery to the authorized service location and return to the Customer will be borne by EchoNA. Title to and the risk of loss or damage to the products being returned by Customer will remain with Customer until delivered to the authorized shipping agent. Title to and the risk of loss or damage to the replacement parts or replacement products will remain with EchoNA until delivered to Customer.
THE REMEDY SELECTED BY CUSTOMER IN ACCORDANCE WITH THIS PARAGRAPH SHALL BE THE EXCLUSIVE AND SOLE REMEDY OF CUSTOMER FOR ANY BREACH OF THE WARRANTY SET OUT IN THIS WARRANTY SCHEDULE.
Failure by Customer to return the defective part or the unit within 30 days of receipt of the replacement part or replacement unit for any reason, may result in Customer being charged for the retail value of such part or the unit.
Following receipt of the Covered Product at the service center, EchoNA’s representative will assess the product. If after assessment any warranty claim in respect of an otherwise Covered Product is determined by EchoNA not to be valid, then EchoNA will be entitled to charge the Customer for the costs of the replacement parts or units (along with the cost of shipment to the Customer).
5. Third Party Manufactured Products
EchoNous will transfer any transferable warranties received from the manufacturers of the following third-party manufactured products: mobile carrying case; binaural headset, ECG patient cable and bridge stand.
6. Customer Responsibilities for Biohazard-Exposed Products.
EchoNA may, in its sole discretion, elect not to receive items from Customer which have been used in and/or potentially exposed to certain pathogens and/or biohazards. In the event that Customer wishes to return to EchoNA any item that has or may have been exposed to pathogens as recognized by the United Nations World Health Organization (WHO), International Association of National Public Health Institute, Centers for Disease Control and Prevention, or any other similar regulatory body, customer shall: (a) provide written notification in advance to EchoNA and obtain EchoNA’ authorization for the return, (b) fully decontaminate all products before packaging, and (c) label all boxes in accordance with biohazard transportation regulations outlined by WHO.
7. Conflicting documents
To the extent there is any conflict between the terms of this Warranty Schedule and any other documentation or statements provided or signed by EchoNA, the terms of this Warranty Schedule will prevail to the extent strictly necessary.
